Convention on Contracts for the International Sale of Goods shall not apply.  If for any reason a court of competent jurisdiction finds any provision of this Terms of Use or a portion thereof, to be unenforceable, that provision will be enforced to the maximum extent permissible so as to effect the intent of the parties and the remainder of this Terms of Use will remain in full force and effect.  Any cause of action must be brought in a court of competent jurisdiction in Shelby County, Tennessee or be barred.
